Terms of Use

These Terms of Use (“Terms of Use”) are provided by EDUC4ALL LENDING INC. (formerly EDVESTMENT INC.) (“EDUC4ALL”), a lending company registered with and licensed by the Securities and Exchange Commission with Company Registration Number CS201629776 and Certificate of Authority No. 2714. By using and accessing http://www.invested.ph (the “Site”) or any related subdomains therein, you signify that you have read, understand, agree and consent to be bound and abide by these Terms of Use, regardless of whether you have registered to use any of the services offered on the Site (“Services”).

If you disagree with or do not understand any part of the terms provided here, you may not access the Site or any of its Services.

A. Eligibility

This Site is intended solely for users who are 18 years of age or older, and any registration or use of the Site by anyone under 18 years of age is unauthorized and in violation of these Terms of Use. However, individuals under the age of 18 may use the Services or establish a user account with the consent of their parent or legal guardian in accordance with applicable law. Our Services are not available to users who are not permitted to use or receive such Services under applicable law or those who have previously been removed or terminated from our Services.

By using this Site and our Services, you represent and warrant that you are of sufficient legal age, and/or have the consent and supervision of your parent or legal guardian to use this Site and our Services, and that you possess legal capacity to enter into these Terms of Use and use the Services.

B. Restrictions on Use

You must not post, send or otherwise transmit to or through the Site any unlawful, infringing, harmful, harassing, defamatory, threatening, vulgar, sexually explicit, racist, violent, immoral, religiously offensive, hateful or otherwise objectionable material of any kind, any material that exploits children or is invasive of or in breach of another person’s privacy or other rights or any material that EDUC4ALL in its sole discretion does not wish posted or transmitted on the website or mobile application; defame, abuse, harass, stalk, threaten or otherwise violate the legal rights (such as rights of privacy and publicity) of others; upload or otherwise make available, files that contain images, software or other material protected by intellectual property laws, including without limitation copyright, patents, designs or trademark laws and rights of confidentiality, publicity and privacy unless you own or control the rights thereto or have received all necessary authorizations to do the same; misrepresent your identity or affiliation in any way; engage in deceptive online marketing; violate any applicable laws or regulations; or assist or permit any persons in engaging in any of the activities described above.

When you register for an account or apply for a loan or use any of the Services provided on this Site and/or by EDUC4ALL, you agree to provide current, complete, and accurate information about yourself. If any information you provide is untrue, inaccurate, not current, or incomplete, we have the right to cancel your registration, reject any application you have submitted, terminate any agreement we have with you, and restrict your future use of the Site and our Services. We reserve the right to reject any registration and/or decline any application for a loan or investment.

You are responsible for maintaining the confidentiality of your account, password, and login credentials. You are also responsible for all activities that occur in connection with your account. You agree to notify us immediately of any unauthorized use of your account, password, or any breach of security.

EDUC4ALL may terminate or suspend your account or ability to use the Site, in whole or in part, at its sole discretion, for any or no reason, and without notice or liability of any kind. Any such termination or suspension can prevent you from accessing your account, the Site, content, or any other related information.

You may terminate your account at any time by closing it and discontinuing your use of any and all parts of the Site. If you close your account, EDUC4ALL may continue to display your previously published content and is under no obligation to remove any of your content unless you specifically request EDUC4ALL in writing to remove your content.

D. Collection and Use of Personal Information

You may be required to provide your personal information anytime you are using the Site and/or Services. By providing EDUC4ALL with your personal information, you authorize EDUC4ALL to adopt any means necessary to verify your identity, and you consent to EDUC4ALL’s sharing and use of it consistent with the Terms of Use. EDUC4ALL may use the information you give in its assessment of your creditworthiness for its Services, as well as in its management of your account over the period of active use of its Site and/or Services. EDUC4ALL may use your personal information with other information to provide and improve EDUC4ALL’s products, services, content, and advertising.

EDUC4ALL gathers some information automatically and stores such information in log files. This information includes internet addresses, browser types and languages, operating systems, date/time stamps, etc. EDUC4ALL uses this information to understand and analyze trends, to administer the site, to learn about user behavior on the site, to improve its product and services, and to gather demographic information about its user base as a whole. It is your sole responsibility to update EDUC4ALL with your current contact details; EDUC4ALL shall not be liable for any loss or damage for failure to receive notices.

F. Disclosure to Third Parties

You agree that EDUC4ALL may make your personal information available to partners that work with EDUC4ALL. Partners may include individual and institutional funders, referral partners, or third-party partners, any or all of which may provide products and services to EDUC4ALL or help EDUC4ALL market to partner funders and institutions. Your personal information will only be shared by EDUC4ALL to funders and/or referral partners to improve its products, portfolio, or services, or to provide relevant portfolio reports. Further, your personal information will only be shared by EDUC4ALL to third-party partners to verify your information, provide or improve its products, services and advertising; such information will not be shared in any case with third parties or partners for any other purpose.

G. Intellectual Property

The Site, Application, Services, and collective content are protected by copyright, trademark, and other laws of the Republic of the Philippines. You acknowledge and agree that the Site, Application, Services and collective content, including all associated intellectual property rights, are the exclusive property of EDUC4ALL You may not use, copy, reproduce, republish, upload, post, transmit, distribute or modify the Marks in any way, including in advertising or publicity pertaining to distribution of materials on this Site, without our prior written consent. Trademarks, service marks, logos, trade names and any other proprietary designations of third parties used on or in connection with the Site or Services are used for identification purposes only and may be the property of their respective owners. As a user, you understand and agree that you are bound by these Terms on Intellectual Property.

EDUC4ALL reserves the right, at its sole discretion, to modify the Site or Services or to modify these Terms of Use at any time and without prior notice. If EDUC4ALL modifies these Terms of Use, EDUC4ALL shall update the “Last Updated” date at the top of these Terms of Use. By continuing to access or use the Site or Service after EDUC4ALL has posted a modification, you are indicating that you agree to be bound by the modified Terms of Use. If the modified Terms of Use are not acceptable to you, your only recourse is to cease using the Site or Services.

EDUC4ALL specifically disclaims any liability and in no event shall EDUC4ALL, its officers, directors, shareholders, or employees be liable for any direct, indirect, incidental, consequential, punitive, or special damages or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, whether in an action in contract, tort, strict liability or otherwise (including but not limited to negligence), arising out of or in any way connected with access to or use of this Site and/or Services and even if EDUC4ALL has been advised of the possibility of such damages, including liability associated with any viruses, macros, or other disabling software that may infect your computer equipment. If any provision of these Terms of Use is held unenforceable or invalid by a court of competent jurisdiction, the provision shall be revised to the extent required to render the provision enforceable or valid according to the intention as reflected in the original text, so as to preserve the intent to the fullest possible extent. All other provisions of these Terms of Use shall remain in full force and effect.

These Terms of Use are the entire agreement between the user and/or member and EDUC4ALL and supersede any prior understandings or agreements (written or oral) with respect to your use of the Site and its Services.

These Terms of Use shall be deemed to have been executed and delivered within the Philippines, and shall be construed and enforced in accordance with, and governed by, the laws of the Philippines. The exclusive venue for any legal action which may arise shall be in Quezon City.
